1. Agreement to Terms
Certifive is a service proposed by DIGITUM LLC, an Arizona limited liability company with entity ID 23721569, effective from 08/30/2024. By accessing or using Certifive's website (certifive.co) and services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
Certifive provides a platform connecting African diaspora and local changemakers through verified impact profiles, quantifiable achievement metrics, and curated opportunity matching. Our features include:
- Premium verified profiles
- Impact measurement system
- Opportunity connection engine
- Personal impact domains
- Profile PDF generation
- Multilingual support (English and French)
3. User Accounts
3.1 Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols).
3.3 Account Termination
We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms.
4. User Content and Verification
4.1 User Content
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post on or through the Service.
4.2 Verification Process
Certifive provides verification services for profiles. By submitting information for verification, you represent and warrant that all information is accurate and complete. We reserve the right to reject verification requests or revoke verified status if information is found to be false or misleading.
4.3 License to User Content
By posting User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise use that User Content in connection with the Services.
5. Intellectual Property
5.1 Our Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Certifive and its licensors. The Service is protected by copyright, trademark, and other laws of both France and foreign countries.
5.2 Trademarks
"Certifive" and all related logos, product and service names, designs, and slogans are trademarks of Certifive or its affiliates or licensors. You must not use such marks without the prior written permission of Certifive.
6. Impact Measurement and Reporting
6.1 Data Collection
Our Service includes impact measurement features. We collect and process data related to your impact profiles and activities to generate metrics and reports.
6.2 Accuracy of Metrics
While we strive to ensure the accuracy of all impact metrics, we cannot guarantee that all measurements are error-free. You agree that Certifive is not liable for any decisions made based on these metrics.
7. PDF Generation
7.1 License to Generate PDFs
Our Service allows you to generate PDF versions of profile content. You may use these PDFs for personal and professional purposes, but you may not monetize or redistribute them without permission.
7.2 PDF Content
PDF documents generated through our Service contain information from your profile. You are responsible for ensuring this information is accurate and appropriate for sharing.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall Certifive, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
9. Indemnification
You agree to defend, indemnify, and hold harmless Certifive and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions.
11. Dispute Resolution
Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service must be instituted in the courts located in Paris, France, and you agree to submit to the personal jurisdiction of such courts.
12. Multilanguage Support
Certifive provides content in multiple languages, including English and French. While we strive to ensure accurate translations, we cannot guarantee the accuracy of all translated content. In case of any discrepancy, the English version of these Terms will govern.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
